Version 1.3 · Effective November 8, 2026

Terms of Service

Customer subscription agreement between you and JKC Strategies, Inc., operator of Optana (optana.ai).

All legal documents

1. The service

Optana is an AI phone receptionist and optional texting service. JKC Strategies, Inc. (“we”, “us”) provides the dashboard, the phone receptionist, and related add-ons. You are the customer. Creating an account does not by itself assign a phone number or start a charge.

2. Subscriptions and add-ons

You choose the features for each business. Phone minutes, call recording, transcripts, and similar usage are metered and billed at our provider cost plus the markup shown for your business. Texting, when you turn it on, is a monthly plan you select (for example Texting 250, Texting 1000, or Texting 2500), plus the published overage rate for each text segment past the number included in that plan. Plan names, fees, included amounts, and the overage rate are the prices in effect on the billing settings when the charge is calculated.

Prices are subject to change because our underlying carrier and service costs can change. If a price will change, we email you and show a notice in your dashboard at least 30 days before it takes effect. You may change or cancel your plan before the new price starts. A price you already paid for a year up front stays locked until that year renews. Usage and overage rates can still change, with the same notice. A new price is used on a bill only on or after the date in the notice.

3. Billing

Charges appear on your usage and billing pages for each billing month. When you add a payment method, we may charge it automatically for subscription fees, texting plan fees, overage, and metered add-ons. Until a payment method is on file, charges are shown in the dashboard and are not collected automatically. You will keep a payment method current once billing is turned on for your account. Amounts are in U.S. dollars. Taxes may be added where required.

4. Cancellation, refunds, and credits

You may cancel a business or the whole account at any time by emailing [email protected] or, when the dashboard offers it, from the account page. Cancellation stops new charges after the current billing period. Metered usage through the cancellation date remains due. Overage already incurred remains due.

If you paid for a year up front, the refund is the annual amount you paid, minus every month you used at the normal monthly price for that plan, minus usage and overage you used and have not already paid. A partial month counts as a full month. The result is never less than zero, and a negative result does not create a new charge. Setup fees and texting registration fees are not refunded. This is the refund for every annual cancellation, including one in the first 30 days. There is not a separate full refund in the first 30 days.

For a monthly plan, the fee for a month that has already started is not refunded. If we billed you in error, or you cancel a monthly plan within seven days of the first paid charge and have not used the service to place or answer calls, we will refund that first monthly charge. We do not refund unused included texts or charges for usage that already happened.

Referral credits. When a new business signs up with a referral code, we may add an account credit to that business and, after its first paid invoice is paid, a credit to the business that shared the code. The amounts are the ones shown in the product when the referral is made. Credits apply to later invoices and cannot reduce an invoice below zero. Any remainder stays on the account until a later invoice. Credits are not cash, cannot be transferred, and are not paid out. Unused credit expires 12 months after it is added. A new business can be referred once. We do not give a credit for a referral of the same business, including the same email domain, phone number, payment method, or tax ID. We may cancel a credit that does not follow these rules.

5. Acceptable use

You will follow the Acceptable Use Policy, the SMS Terms, the Call Recording & Consent Notice, and the 911 / Emergency Services disclaimer. You are responsible for the scripts, greetings, and phone numbers you configure, and for getting any consent the law requires before you call, text, or record someone.

6. AI limitations

The receptionist is automated. It can misunderstand a caller, give a wrong answer, book the wrong time, or fail to transfer. You are responsible for reviewing calls, transcripts, and messages, and for anything you do based on them. Do not use Optana as the way someone reaches emergency services. See the 911 / Emergency Services disclaimer. You are responsible for how emergency and after-hours calls are forwarded, and for the numbers you enter.

7. Your content and caller data

You keep ownership of your business content. Caller information is described in the Privacy Policy and the Data Processing Addendum. You are the controller of caller data. We process it to provide the service.

8. Availability

We work to keep the service available, but we do not promise uninterrupted service. Telephone carriers, model providers, and hosting can fail. We may suspend the service if your account is past due, if we reasonably believe these terms are being broken, or if we have to for security.

9. Limitation of liability

To the fullest extent the law allows, JKC Strategies, Inc. is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost business, or the content of a call or text. Our total liability for a claim relating to the service is limited to the fees you paid us for the business in question during the three months before the claim. These limits apply even if a remedy fails of its essential purpose. They do not apply where the law does not allow a limit, including liability that cannot be limited for willful misconduct.

10. Indemnity

You will defend and indemnify JKC Strategies, Inc. and its directors and employees against claims, damages, and reasonable attorneys’ fees arising from your use of the service, your greetings and scripts, calls or texts you cause to be sent, recording without a required consent, a failure to handle emergency calls, or your breach of these terms or the Acceptable Use Policy.

11. Changes

We may update these terms. The new version will show a version number and an effective date on this page. If you have an account, we will ask you to accept a material change the next time you sign in. If you do not agree, you may cancel before the new version applies to you. Continued use after you accept, or after the effective date if you keep the service, means you agree.

12. Law and disputes

These terms are governed by the laws of the State of Montana, without regard to conflict-of-law rules. Courts in the State of Montana are the exclusive venue, except that either party may seek a temporary restraining order for misuse of the service or of confidential information. The U.N. Convention on Contracts for the International Sale of Goods does not apply.
